Corporation and Business Law

Our attorneys can assist with all aspects of corporation and business law. We help clients with the formation of partnerships and corporations, preparation and negotiation of contracts and closing complicated transactions.

Criminal Defense

Businesses that are under criminal investigation and individuals who have been charged with a crime need competent, quality legal representation. The attorneys of Jones & Deimund who practice in this include two former assistant state prosecuting attorneys. We have successfully defended individuals and businesses in various Missouri state courts and in federal court.

Planning/Administration

Real Estate Law

Real estate attorneys with many years of expertise and experience provide practical solutions to a full range of legal issues facing commercial, corporate and individual property owners, developers, landlords and tenants, including leases, eminent domain, 1031 exchanges, zoning and land use, foreclosures, mechanic liens and title disputes. Litigators represent and serve our clients’ needs in all types of real estate litigation including rent and possession, unlawful detainer and other leasehold disputes, condemnation actions (from landowner, tenant and condemning authority perspectives), as well as in actions to determine title including quiet title, partition, boundary disputes and to determine easement and access rights.

  • Leasing – The Firm is very familiar with lease negotiations in both the commercial and industrial markets.
  • Development – We have represented clients in the development of shopping malls, strip centers, office buildings, urban redevelopment projects, golf courses, mixed use facilities, single family residential subdivisions, planned unit developments, apartments, affordable housing, condominiums and industrial facilities. Our representation is often from the ground up, requiring the negotiation of land acquisition contracts, construction and architects’ contracts, major leases, general and limited partnership agreements and limited liability company operating agreements, construction and permanent financing documents, reciprocal easement agreements and declarations, development, management and leasing agreements, tax increment financing and transportation development districts.
  • Acquisition – Our development experience gives us an awareness of the entire scope of due diligence and contract provisions necessary when acquiring an interest in real estate. We routinely handle complex acquisitions of individual commercial properties, and increasingly we have been called upon to represent clients in substantial transactions involving multiple properties.
  • Redevelopment Work – We are familiar with government sponsored development incentives, including tax increment financing, Missouri’s Chapter 353 “private condemnation” provisions, and similar development incentive programs.
  • Joint Ventures – We have represented developers in all kinds of partnerships, both general and limited, and other entities including limited liability companies. We have substantial experience in drafting and negotiation of a wide variety of partnership agreements for single and multiple property transactions, many of which contain sophisticated provisions dealing with preferred returns, priority distributions, special allocations of profits and losses, specially tailored decision making arrangements and puts, calls and other buy-out rights.

Worker’s Compensation

We represent individuals who have been seriously injured while at work. Our representation, in consultation with treating and retained physicians, may include efforts to obtain payment of medical bills, temporary disability and permanent disability payments.
